No - its a UNIQUE passive. You do not get the passive twice.

Here is how Armor Penetration (and Magic Penetration) Works.

You start with the target's base armor, we'll call it 100.

You then apply any effect that reduces the target's armor. This is things like the Black Cleaver's stacks, Nasus's Spirit Fire reduction, etc. We'll say you get a level 1 reduction of 20, lowering it to 80.

You then apply any percentage-based Armor Penetration. This is the Last Whisper (there are no other Armor Penetration % items, but there are Magic Penetration % effects, like the Void Staff and the Mastery). So with a 40% reduction, you reduce his armor of 80 by 32 to 48.

You then apply any flat Armor Penetration effects. Let's say you have 18 from your Greater Marks of Desolation and another 6 from the Sunder Mastery. This lowers his armor by another 24 to 24.

Armor can only go negative from effects that reduce the target's armor (the first category). Armor penetration effectively "Ignores" that much armor, but if there is nothing to ignore it will leave it at 0.
